ARTICLE 1
NAME
Section 1.1 The registered name of this organization is Lake Cadjaw Watershed Association, of Honesdale, PA.
ARTICLE 2
MISSION
Section 2.1 To aid and strengthen in solving the problems of Lake Cadjaw and its environs.
Section 2.2 To encourage activities that will be beneficial to Lake Cadjaw and the surrounding community.
Section 2.3 To aid in the formation of uniform policies and programs.
Section 2.4 To promote a unification for the improvement and preservation of Lake Cadjaw.
Section 2.5 To stimulate civic and social activities amongst its members
Section 2.6 To support and work for the betterment of Lake Cadjaw and the surrounding community.
Section 2.7 To encourage property owners and area residents to become members and be actively involved in the policies and programs of the Lake Cadjaw Watershed Association.
Section 2.8 To assure that the dam and spillway of Lake Cadjaw meet the structural integrity standards as mandated by the Commonwealth of Pennsylvania during dam inspections.
Section 2.9 To assure the collection of funds for capital expenditures to maintain the structural integrity of the dam and spillway as required by governmental dam inspections.
ARTICLE 3
MEMBERSHIP AND DUES
Section 3.1 Any property owner at Lake Cadjaw or area resident shall be eligible for membership.
Section 3.2 Application for membership shall be made to the Association’s President or Treasurer.
Section 3.3 The Secretary shall notify the organization of any new membership at the next regularly scheduled meeting.
Section 3.4 A member shall be considered in good standing after payment of annual dues, which amount shall be established by the Board of Directors. The due date for payment of annual dues shall be May 31 of each year.
Section 3.5 The fiscal year shall be the calendar year, i.e., January 1 through December 31.
Section 3.6 Only members in good standing as stated in Section 3.4 shall be entitled to vote on matters presented at any regular meeting of the Lake Cadjaw Watershed Association.
Section 3.7 The Association by and through its Officers are empowered to establish dam assessments for all members and such other property owners with vested lake rights to the waters of Lake Cadjaw.
Section 3.8 Dam assessments shall be on an annual basis.
Section 3.9 In the event any member or property owner fails to pay dam assessments by the established due date, the Officers of Lake Cadjaw Watershed Association shall be empowered to engage legal counsel and institute legal proceedings to collect said dam assessments.
ARTICLE 4
OFFICERS AND ELECTION OF OFFICERS
Section 4.1 The Officers of the Lake Cadjaw Watershed Association shall consist of President, Vice President(s), Secretary, and Treasurer.
Section 4.2 At the regular meeting in August, a Nominating Committee consisting of three members in good standing, shall be elected by the membership.
Section 4.3 It shall be the duty of the Nominating Committee to prepare a slate for the election of Officers at the September meeting, having first ascertained that the person whose name is presented is willing to serve, if elected.
Section 4.4 The Nominating Committee shall present its report at the regular meeting in September, at which time nominations from the floor may also be made.
Section 4.5 Officers shall be elected for a term of two (2) years.
Section 4.6 A majority of all votes cast for any office shall be necessary for the election to that office.
Section 4.7 The term of office shall begin in September, the final meeting of the election year.
ARTICLE 5
DUTIES OF OFFICERS
Section 5.1 The President shall preside at all meetings of the Association and the Board of Directors and shall perform such duties as are specified by the Association. The President shall be a member of all committees and shall authenticate all acts and orders when necessary.
Section 5.2 The Vice President(s) shall preside at the meeting in the absence of the President and discharge his or her duties in the case of a vacancy in the office.
Section 5.3 The Secretary shall keep a correct record of all meetings of the Association and the Board of Directors. Those records shall be open for inspection at any time in the presence of the Secretary by any member of the Association desiring to read them. The Secretary shall send all notices required by these By Laws and applicable law.
Section 5.4 The Treasurer shall be the custodian of all funds and withdraw thereon by check for payment of all bills duly authorized by the Association. He or she shall keep an accurate record of all receipts and disbursements; be present at all meetings; and give a report of activity since the prior meeting.
ARTICLE 6
MEETINGS
Section 6.1 Regular meetings of the Association shall be held in the months of May, July, August, and September, unless otherwise ordered by the President.
Section 6.2 Special meetings may be called by the President of the Board of Directors upon a notice of five (5) days. The reason for the special meeting must be stated in the call or letter and may include the language, “and for any other business that may arise”.
ARTICLE 7
BOARD OF DIRECTORS
Section 7.1 The Officers of the Association shall constitute the Board of Directors.
Section 7.2 The Board of Directors shall meet at the call of the President.
Section 7.3 Vacancies in any office of the Association shall be filled until the next meeting by the Board of Directors.
Section 7.4 The Board of Directors shall oversee all decisions being made by the membership.
ARTICLE 8
COMMITTEES
Section 8.1 The membership shall elect any Committee necessary to conduct business and the President shall be a member of any such elected Committee.
Section 8.2 Said committee(s) shall have the authority to make decisions that are deemed necessary, especially during the months that the regularly scheduled meetings of the Association are not held.
Section 8.3 Any and all final decisions made by said committee(s) shall be in accordance with the Officers/Board of Directors.
ARTICLE 9
AMENDMENTS
Section 9.1 The within By Laws may be amended at any regular meeting of the Association by a two-thirds (2/3) vote provided the proposed amendments have been submitted in writing at the previous regular meeting.
ARTICLE 10
NOTICE TO MEMBERS
Section 10.1 All notices to members or such property owners of any meetings, dues, or dam assessments, may be by electronic mail or United States Mail.
AMENDED ARTICLE 11
ELECGRIC MOTORS AND INTERNAL COMBUSTION ENGINES
Section 11.1 The membership convened at a general meeting on September 30, 2019 and voted in favor of restricting the use of electric motors and prohibiting internal combustion engines as being both hazardous to the lake as well as to the safety and welfare of the users of the same. Internal combustion engines shall not be operated upon any portion of the waters owned by Lake Cadjaw Watershed Association, and electric motors shall be limited to 55 pound thrust capacity as designed by the manufacturer. This Article shall be effective for the 2020 year and all years thereafter.
